Terms of Service
Last updated:These Terms govern the website and services provided by James Graham trading as AutomatedPanda (“we”, “us”). By using our site or engaging our services, you agree to these Terms.
1) Services
We provide automation consulting and implementation (e.g., Make.com, Airtable), documentation, and related advisory.
2) Proposals & scope
Work will be defined in writing (proposal/estimate/SOW). Scope changes may affect fees and timelines and require written approval (email is sufficient).
3) Your responsibilities
- Provide timely access to accounts, APIs, data, and stakeholders.
- Ensure rights to any data or systems you connect.
- Give clear feedback within agreed windows via a named point of contact.
4) Fees & payment
- Fees may be fixed or time-based and exclude taxes unless stated.
- Invoices are due within 7 days; late payment may pause work.
- Deposits (if any) are non-refundable once work begins.
5) Cancellations & refunds
You may cancel at any time. You’ll owe for work completed up to cancellation. Pre-paid but unused time may be refunded at our discretion, less non-recoverable costs.
6) Intellectual property
- Upon full payment, you receive a non-exclusive, perpetual license to use deliverables within your business.
- Our pre-existing IP and general know-how remain ours; we may reuse generalized components.
- Licences for third-party tools (e.g., Make, Airtable) are your responsibility.
7) Confidentiality
Each party must protect the other’s confidential information and use it only for the engagement, except where required by law.
8) Data protection
We process personal data per our Privacy Policy. We’ll enter into a DPA if required.
9) Warranties & disclaimers
- We will perform services with reasonable skill and care.
- Deliverables depend on third-party platforms; we don’t control their uptime, changes, or limits.
- Except as stated, services are provided “as is” without other warranties.
10) Limitation of liability
To the maximum extent permitted by law, our total liability for all claims is capped at the fees you paid to us in the 12 months preceding the claim. We are not liable for indirect, special, incidental, consequential, or lost-profit damages.
11) Indemnity
You will indemnify us against claims arising from your data, your use of the deliverables, or your breach of these Terms or law.
12) Term & termination
Either party may terminate for convenience with written notice, or immediately for material breach. On termination, you’ll pay for work completed; we’ll hand over in-progress assets on payment.
13) Publicity
We may reference your company name and non-confidential outcomes as portfolio material. Tell us if you prefer not to be named.
14) Governing law & jurisdiction
These Terms are governed by and construed in accordance with the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction.
15) Changes
We may update these Terms. We’ll post changes here and adjust the date above. Continued use after changes means you accept the revised Terms.
